Asymmetrical clusters are not supported or recommended except during a
rolling cluster upgrade. It probably will work, but since clustering is
part of a high availability strategy, why would you want to set up something
known to be less stable than it could be?

Then, given that the SQL is current( SQL 2000 w/ SP3),
what is the quickest way to upg the cluster's OS to Win

Shift resources to one node. Insert CD in other node. Run compatibility
test. Resolve differences. Run upgrade. Repeat.

If you are using a SAN, make sure you have the W2K3 versions any
vendor-specific software (including HBA drivers). I would invest in a phone
support call to the vendor just to be sure.
