From SQL BOL (Emphasis added):

To upgrade an instance of SQL Server to a SQL Server 2005 failover cluster, the instance being upgraded must be a SQL Server 2000 or SQL Server 2005 failover cluster. Direct upgrade of a SQL Server 7.0 failover cluster instance to a SQL Server 2005 failover cluster instance is not supported. To upgrade a stand-alone instance of SQL Server or a SQL Server 7.0 failover cluster instance to a SQL Server 2005 failover cluster, install a new SQL Server 2005 failover cluster. Then, migrate user databases from the stand-alone instance by using detach/attach, or by using the Copy Database Wizard. For more information about database migration, see Using the Copy Database Wizard.

We're going to have to move data to a new 2000 SP4 server. We want to

You don't. You must have your cluster built before installing SQL, you
can't do it the other way around.

2. I heard that when I do the install I have to do a named instance even

that's the only instance on this machine? Is that true and what do they

by that?

Read Books Online regarding named instances vs. default instance. It is
highly recommended that you use named instances only on clusters.
