Failed to create Process: 2! - 01-17-2006 , 01:59 PM

Installing 8.1.3 msi on W2k server recieve the following error message
immediately after selecting the Language (page). Error: Failed to
create Process: 2!

The cmd.exe IS in the system path. Need assistance please.
