I wish I had a solid answer for you. All I can do is commiserate with
you, as I have also seen this and it does seem completely random. This
might be related to another problem that I have never been able to work
out in 7: once you've had a file that was password protected, there
seems to be no way to ever make it again so that the password dialog
does not come up (aside from adding the master password as a default
upon opening).
